This Gift Agreement is made this today by and among you, the "Donor”, and Society of Loyola Old Boys, Inc. ("SLOB").

A. Gift Designation/Purpose

This gift is designated for the purpose of contributing to the {General Fund, Scholarship Endowment, Coaching Endowment, or Grandstands Capital Campaign}, which purpose is and shall be consistent with SLOB’s tax-exempt purposes.

It is understood and agreed that, should it ever become, in the judgment of SLOB Board of Trustees, impossible or impractical to carry out the aforementioned purpose(s) or if such purpose(s) cannot be achieved because of a future change in law or unforeseeable circumstances, SLOB may make such modifications to such purpose(s) as will appropriately recognize the Donor's interests in accordance with SLOB priorities.

B. Endowment Fund Administration

The assets of the Fund may be merged or pooled for investment and investment management purposes with the general endowment or other assets of SLOB. The assets of the Fund shall be managed and invested in accordance with SLOB’s Investment Policy Statement but shall be separately accounted for. Distributions shall be made in accordance with SLOB’s current endowment spending policy. Reasonable fees associated with securing, raising, investing, and administering such funds shall be charged to the Fund in accordance with policies and procedures of SLOB in effect from time to time.

C. Entire Agreement

This Agreement contains the entire understanding of the Donor and SLOB with respect to the subject matter of the Agreement and is subject to the laws of the State of Maryland. This Agreement also supersedes all other agreements and understandings, both oral and written, between the parties relating to the subject matter of the Agreement.
